Terms of Service

These Terms of Service ("Terms") govern your use of the Solid Commerce REST API, command-line interface (CLI), Model Context Protocol (MCP) server, software development kits (SDKs), AI-assistant connectors, and developer documentation (collectively, the "Services"), provided by Solid Commerce, Inc. ("Solid Commerce," "we," "us").

By using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a contract. The Services are intended for businesses; if you are a consumer, please do not use the Services.

2. Your account

You will be issued one or more credentials when you set up access — an OAuth client, an API key, or an authorization token issued through an assistant host (Claude, ChatGPT, Gemini, Copilot, Grok). You are responsible for keeping these credentials confidential. You will not share credentials with parties outside your organization, and you will rotate or revoke credentials if you suspect compromise (see our Privacy Policy and our public token-revocation runbook).

3. Acceptable use

You may use the Services to operate your business on the supported marketplaces. You will NOT:

• Reverse-engineer the Services beyond what is permitted by law.
• Use the Services to violate marketplace terms (Amazon, eBay, Walmart, etc.).
• Send unsolicited buyer messages or spam.
• Exceed the rate limits we publish in our documentation.
• Use any automated agent to circumvent rate limits, audit logging, or scope enforcement.
• Use the Services to process personal data of EU or UK consumers without a separately-executed Data Processing Addendum.
• Reverse-engineer, decompile, or attempt to derive source code from our SDKs beyond what applicable open-source licenses permit.
• Misuse AI-assistant connectors to perform destructive actions that the human user did not authorize (e.g., bulk-cancel orders without explicit user confirmation). Our tools that carry the destructiveHint annotation are surfaced to assistant hosts with confirmation prompts; you agree not to bypass these prompts.

4. Your data

You own the data you store in the Services. You grant us a non-exclusive license to host, process, and transmit it for the sole purpose of providing the Services to you. We may retain copies of your data in our audit log for security and compliance purposes per our Privacy Policy.

5. Fees

Pricing, if any, is described separately in your order form or in the publicly-listed plan you selected. If we make material changes to pricing for an existing plan, we will provide at least 30 days' notice.

6. AI-assistant connectors

When you authorize an AI-assistant host (e.g., Claude, ChatGPT) to call the Services on your behalf:

• The OAuth scopes you grant define the maximum permissions the assistant has.
• The assistant host's terms of service apply to the host-side of the interaction; ours apply to the Solid Commerce side.
• Assistants act on your behalf; you are responsible for the actions taken in your name. We rate-limit and audit assistant traffic to help you detect anomalies, but ultimate responsibility rests with you as the account holder.

7. Suspension and termination

We may suspend or terminate your access if you materially violate these Terms, if your account is at risk (e.g., suspected credential compromise — see our token-revocation runbook), or as required by law. We will provide notice when feasible. You may terminate your account at any time; on termination we provide a 30-day data-export window per Section 5 of our Privacy Policy.

8. Intellectual property

The Services and all related software, documentation, and content are owned by Solid Commerce or our licensors. We grant you a non-exclusive, non-transferable license to use the Services consistent with these Terms. Our SDKs are distributed under their respective open-source licenses (see each repository for details). You retain all rights to your data and to the integrations you build using the Services.

9. Disclaimers and limitation of liability

The Services are provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or compatible with every marketplace, carrier, or assistant host at all times.

Liability cap: Our total liability under or in connection with these Terms is capped at the greater of (a) the amounts you have paid us in the 12 months immediately preceding the claim or (b) $1,000 USD. We are not liable for indirect, incidental, or consequential damages. This cap does not apply to gross negligence or intentional misconduct.

10. Indemnification

You will indemnify and hold us harmless from any claim arising out of your misuse of the Services or breach of these Terms.

11. Governing law and disputes

These Terms are governed by the laws of [State — TBD by Legal], without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in [County, State — TBD by Legal], and you consent to personal jurisdiction there.

12. Changes to these Terms

Material changes will be announced at least 30 days in advance via email to your account-of-record. The current version is always at this URL.
